Based in the United Kingdom, where he heads KN Law LLP’s London/Europe Office, Mugambi Nandi was in 2021 ranked one of only three (3) top Corporate M&A Kenyan lawyers practicing law abroad.
Mugambi Nandi has over 25 years’ experience in legal practice, with substantial legal and boardroom experience as an in-house counsel, Company Secretary and member of private as well as public sector corporate boards. Over the years, he has been involved in M&A, Private Equity, Capital Market, and Corporate Finance transactions with a value of over KES 100 billion. His legal advisory work has earned him the recognition of peers and clients, for which he has been recognized and ranked by Chambers Global every year since 2017.
Mugambi Nandi was cited by Chambers Global 2017 and 2018 as a “Recognized Practitioner” in the Corporate & Commercial Law rankings for Kenya. He has been ranked in Chambers Global in 2019, 2020, and 2021, with part of the citation stating that he is appreciated by clients for his ‘sharp legal mind,’ ‘solutions-oriented approach,’ ‘speed of response and availability,’ and ability ‘to see a commercial perspective on a transaction as well as a legal one.’ The 2021 Chambers Global Rankings note his expertise in “corporate and commercial transactions, including M&A and PE investments, as well as corporate finance and listings…merger approvals and competition regulations.”
He has extensive experience in Capital Markets having acted as an advisor in numerous transactions including REITS, listings, privatizations, debt and capital raising, PE and VC transactions across Africa. He was recognized by the Capital Markets Authority for his contribution to the implementation of the Kenya 10 Year Capital Markets Master Plan as a member of its Implementation Committee. He also served as Co-Chairperson of Working Group 3 which reviews and recommends legal and regulatory changes to deepen capital markets in Kenya.
Some of the matters Mugambi Nandi has handled include acting as team leader of the legal advisory team for listed company in the acquisition and disposal of stake in several companies in transactions valued at over USD 200M. He also advised in a 140MW geothermal project which included conducting legal due diligence and negotiating various complex project agreements including Supply Agreement, EPC and O&M Contracts as well as the PPA. He has served as Legal Advisor in the structuring and setting up of a USD 500 Million Private Equity Fund domiciled in Mauritius, for purposes of investing in East Africa.
Nandi holds qualifications in law and financial management including LL.B, MBA, Dip. Law and Dip.FM and is a Certified Public Secretary and Certified Governance Auditor. He has served as a Member of the Kenyatta University Council, Board Member of the Privatization Commission of Kenya, Communications Authority of Kenya, Seriani Asset Managers Limited, and Mayfair CIB Bank Limited. Previously, he worked for the Standard Bank Group of South Africa as the Head of Legal/Company Secretary for the Kenyan operations, and the East African Development Bank as Legal Counsel.
